Wood and Plane Terms of Service:

Thank you for considering Wood and Plane LLC (“Wood and Plane,” “we,” or “our”) for your custom cabinetry project. These Terms of Service govern all estimates, proposals, invoices, and projects performed by Wood and Plane. By accepting an estimate or placing an order, the customer (“Purchaser,” “Client,” “Owner,” or “Contractor”) agrees to these terms.
1. Estimates and Proposals
We appreciate the opportunity to provide an estimated cost for your cabinetry project. All estimates are valid for 30 days from the date issued.
Estimates are based on information provided by the Client or Contractor (including drawings, plans, measurements, sketches, or verbal descriptions). Pricing may change if underlying information proves inaccurate or if the project scope changes.
Any graphics, drawings, or renderings included in the estimate are conceptual and provided solely for estimation purposes. They do not represent final construction details or guaranteed results.
Unless stated otherwise, estimates include labor, materials, and sales tax for production, delivery, and installation. Pickup projects exclude delivery and installation.
Wood and Plane may revise or withdraw an estimate at any time before written acceptance.
2. Acceptance of Proposal
Wood and Plane is pleased to supply and install the items listed in the accepted proposal according to the drawings and specifications provided by us.
Owner agrees to unconditionally guarantee payment of the full contract amount, including any additional orders shipped to the same address. Owner acknowledges that Wood and Plane may secure payment by any lawful means, including mechanic’s liens under Alabama law.
3. Payment Terms
A 50% deposit is required to reserve the project, secure materials, and schedule production. Primary engineering and design confirmation are completed prior to signing the proposal and are included in the estimate and proposal package.
A 40% production payment will be invoiced at the earliest reasonable milestone that reflects actual project progress or material procurement. This payment may be requested at any one of the following stages:
When the majority of project materials have been received,
When production activities have begun, including cut lists, CNC programming, cabinet or furniture manufacturing, assembly, or finishing preparation,
When the project is substantially complete in the shop and ready for Client inspection prior to delivery.
Wood and Plane may invoice the 40% payment at whichever milestone occurs first or is most appropriate for maintaining production flow and cash-flow stability. Production may continue while awaiting payment; however, delivery or installation will not occur unless the 40% payment has been fully paid, even if delivery or installation has been tentatively scheduled.
The remaining 10% balance is due after delivery and installation, except for written punch-list items mutually agreed upon and itemized on an adjusted final invoice.
All invoices are due upon receipt. A 1.5% monthly service charge (or the maximum allowed by law) applies to unpaid balances after fifteen (15) days.
Wood and Plane may pause work, delivery, installation, or warranty service if any invoice remains unpaid.
4. Deposit and Non-Refundable Materials Policy
The initial 50% deposit becomes non-refundable immediately upon ordering materials. Wood and Plane will notify the Client when material orders are placed. Material procurement represents a custom purchase specific to the Client’s project and cannot be returned, repurposed, or reused.
If the Purchaser cancels after materials have been ordered but before fabrication has begun, the deposit will be applied to all costs incurred to date, including materials, labor, and administrative work. These costs may exceed the amount of the deposit.
If cancellation occurs after production has begun, the Purchaser is responsible for the full contract amount, as custom cabinetry cannot be resold or reused.
5. Materials, Specifications, and Natural Variation
Wood and Plane reserves the right to adjust design details, construction methods, materials, or dimensions as needed to ensure structural integrity and product quality.
Custom cabinetry is built to tolerances consistent with ANSI/AWI 0620-2024, Custom Grade. Nominal dimensions may be used for certain projects when appropriate and will be communicated to the Client.
Wood is a natural material and may exhibit variation in tone, grain, texture, and figure. Changes in environmental conditions may cause wood movement such as expansion, contraction, door or drawer shifts, or minor finish changes. These characteristics are normal and not considered defects.
Wood and Plane is not liable for issues arising from pre-existing defects in walls, framing, flooring, structure, or environmental conditions that affect installation or long-term performance.
6. Production Timeline
All completion dates are estimates and subject to change due to:
material availability
supplier delays
design revisions
production load
labor availability
jobsite readiness
force majeure events
If cabinetry is complete but the jobsite is not ready for delivery or installation, billing will proceed according to the original agreed-upon delivery date.
7. Client Responsibilities
The Client is responsible for ensuring that the jobsite is ready, safe, and accessible for delivery and installation, including:
Completed drywall, flooring, and framing in the installation area
Electrical systems either fully roughed-in or completed
Plumbing, HVAC, and appliance rough-ins completed
All appliances, sinks, and cutout specifications onsite prior to installation
Clear and unobstructed access to the work area
Pets secured and occupants kept clear of the workspace
If the jobsite is not ready, safe, or accessible at the time of delivery or installation, Wood and Plane will reschedule the work. A minimum $125 return-trip fee will be charged, with additional fees possible for extended travel, labor time, storage movement, or other costs incurred.
If wall conditions, framing irregularities, floor slope, or other site conditions prevent proper installation, Wood and Plane may:
Recommend remediation or wall re-work,
Issue a Change Order for corrective work or additional installation labor,
Decline installation until conditions are corrected.
If conditions require additional installers, special equipment, or extended installation time not reasonably foreseeable during field measurement, a Change Order will be issued.
Humidity outside 35%–55% may cause wood movement, finish changes, gaps, warping, or alignment issues. Installation may proceed at the Client’s risk, and non-compliant environmental conditions may void warranty coverage.
Wood and Plane is not responsible for damage or issues caused by existing structural, framing, wall, floor, or environmental defects.
8. Change Orders
All changes must be submitted in writing and approved by Wood and Plane.
Change Orders may affect price, timeline, materials, and installation date. Changes requested after production begins may incur charges for materials, engineering, labor, or administrative work.
Change Orders must be paid when invoiced. Failure to pay may pause production and may result in forfeiture of deposits.
9. Cancellation Policy
All cancellations, refunds, chargebacks, or modifications require prior written approval.
Orders cannot be cancelled after production has begun, defined as:
materials ordered or received
cut lists prepared
CNC programming completed
finishing preparation begun
shop labor scheduled
any fabrication or assembly started
Cancellations before production incur:
a non-refundable 10% fee, plus
reimbursement of all expenses incurred to date
Once production begins, the Purchaser owes the full contract amount.
10. Delivery, Freight, and Installation
Unless otherwise instructed, Wood and Plane arranges delivery or freight on behalf of the Client. All shipping, packing, insurance, and similar charges are added to the final invoice unless otherwise specified.
If the Client arranges their own freight or pickup, Wood and Plane must be notified. Transfer fees may apply.
Wood and Plane is not responsible for delays caused by carriers, shipping partners, or jobsite readiness.
11. Storage and Moving Fees
If the Client cannot accept delivery when the project is complete, Wood and Plane may transfer cabinetry or materials to onsite or offsite storage to maintain production scheduling.
A moving or transfer fee, equal to the project’s standard transport fee, will be charged at the time items are moved into storage.
An initial storage facility fee will be charged at the start of the storage period.
After the first 30 days, a monthly storage fee will be charged and will repeat every 30 days until installation is completed.
Storage may be required earlier than 30 days depending on shop capacity and workflow. Wood and Plane will schedule installation based on our availability; storage does not grant priority scheduling.
Client assumes all risk of loss, theft, environmental exposure, or damage during storage or transit.
12. Warranty
Wood and Plane warrants its products against defects in materials and workmanship for 12 months from delivery.
This warranty does not cover:
normal wear
wood movement or seasonal changes
environmental damage
jobsite damage
misuse or improper care
work modified by others
Warranty is void if payment terms are not met.
13. Claims
Claims must be made within 15 days of delivery or installation. Failure to report within this period constitutes full acceptance.
Wood and Plane’s liability is limited to the amount paid for the merchandise. We do not cover labor charges, delays, consequential damages, or special damages.
14. Taxes
Client is responsible for all applicable taxes unless a valid exemption certificate is provided.
15. Force Majeure
Wood and Plane is not liable for delays caused by circumstances beyond our reasonable control, including:
natural events
supplier or freight delays
transportation issues
labor issues
material shortages
Additional time will be granted as needed.
16. Dispute Resolution
This Agreement is governed by Alabama law.
All disputes shall first be submitted to mediation under the rules of the American Arbitration Association.
If unresolved after sixty (60) days, disputes proceed to binding arbitration in Huntsville, Alabama.
Both parties share the cost of mediation.
Judgment on the arbitration award may be entered in any court with jurisdiction.
17. Entire Agreement
These Terms represent the complete agreement between Wood and Plane and the Purchaser. Modifications must be made in writing and signed by both parties.
